Terms & Conditions

These Terms & Conditions govern your access to and use of the nexPulse AI Voice and Messaging platform provided by Nexbitz Infotech LLP.

Effective Date: 01 April 2026

Agreement

These Terms & Conditions govern the use of nexPulse, owned and operated by Nexbitz Infotech LLP. By accessing or using the Service, you acknowledge that you are using powerful automation tools and agree to assume full legal responsibility for all communications initiated through your account.

1. About the Service

nexPulse is a cloud-based communications automation platform that enables businesses to deploy conversational AI Voice Agents and execute automated WhatsApp messaging workflows. nexPulse operates exclusively as a technology conduit and does not originate, select recipients for, or endorse the content of the communications sent through the platform.

2. Strict Compliance & Consent Guarantee

You, the Client, are the sole initiator of all communications.

  • You warrant that you have obtained verifiable, prior express written consent (opt-in) from every individual you contact via Voice or WhatsApp through our platform.
  • You agree to comply with all applicable telemarketing laws, including but not limited to TRAI regulations and NDNC (India), TCPA (USA), and GDPR (EU).
  • You must immediately honor all opt-out, "STOP", and Do-Not-Disturb (DND) requests. Bypassing our system's DND blockers is grounds for immediate account termination.

3. WhatsApp & Telephony Provider Rules

Your use of nexPulse is strictly bound by the policies of the underlying carriers and platforms:

  • You must adhere to the WhatsApp Business and Commerce Policies.
  • If Meta (WhatsApp) restricts, suspends, or bans your WABA account due to high spam rates or policy violations, nexPulse is not responsible and no refunds will be issued.
  • Telephony carriers may block your Caller ID (DID) if you generate excessive short-duration calls or spam reports. We reserve the right to suspend your voice capabilities if your Answer Seizure Ratio (ASR) falls below acceptable industry standards.

4. Acceptable Use Policy

You are strictly prohibited from using nexPulse to:

  • Conduct fraudulent activities, phishing, or identity theft.
  • Deceive consumers about the artificial nature of the voice agent (if prohibited by your local jurisdiction).
  • Promote illegal goods, adult services, unregulated pharmaceuticals, or engage in hate speech.
  • Upload purchased, rented, or third-party lead lists without direct, verifiable consent.
  • Attempt to reverse engineer, scrape, or overwhelm the nexPulse API infrastructure.

5. Wallet, Billing & Credits

  • nexPulse operates on a prepaid wallet system. AI Agent calls and WhatsApp messages consume credits from this wallet.
  • If your wallet balance is exhausted, all active voice and messaging pipelines will halt immediately.
  • All wallet top-ups are strictly non-refundable. Credits cannot be transferred or exchanged for fiat currency under any circumstances.

6. Data Ownership & Processing (DPA)

You retain full ownership of all customer data (phone numbers, leads, CRMs) uploaded to nexPulse. Nexbitz Infotech LLP acts solely as a Data Processor. We process your data, including passing it to sub-processors (like telecom carriers, Meta, and LLM transcription services), strictly to execute your requested automated campaigns. You warrant that you have the legal right to upload this data into our cloud environment.

7. Indemnification

You agree to absolutely defend, indemnify, and hold harmless Nexbitz Infotech LLP, its founders, and affiliates from any claims, lawsuits, regulatory fines (including TRAI or TCPA penalties), or expenses arising out of:
  • Your failure to obtain required consent from call/message recipients.
  • The content of your scripts or WhatsApp templates.
  • Any breach of these Terms & Conditions.

8. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. Nexbitz Infotech LLP shall not be liable for any indirect, incidental, special, or consequential damages, including loss of business, data, or reputation resulting from carrier blocks, Meta WABA bans, or platform downtime. Total liability shall not exceed the wallet funds consumed by your account during the preceding three (3) months.

9. Termination

We may suspend or permanently terminate access to the Service without notice or refund if we detect a violation of these Terms, excessive spam complaints from your campaigns, or if your usage poses a legal or reputational risk to Nexbitz Infotech LLP.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Vadodara, Gujarat, India.
